DEFINITIONS
In these Terms and Conditions:
"Buyer"
refers to any company, organization, or individual purchasing Products or Services from PERITI TECHNICA.
"Products"
refer to equipment, parts, systems, or materials supplied by PERITI TECHNICA as described in the Purchase Documents.
"Services"
refer to engineering, automation, installation, commissioning, or support services provided by PERITI TECHNICA.
"Software"
refers to executable computer programs provided as part of a system, excluding source code.
"Purchase Documents"
include quotations, proposals, work orders, and purchase orders associated with the transaction.
"Seller" or "Company"
means PERITI TECHNICA, its divisions, affiliates, or authorized business units.
"Terms and Conditions"
refer to this document, which governs all transactions between the Buyer and PERITI TECHNICA.
APPLICATION
These Terms and Conditions apply to all sales, supplies, or services provided by PERITI TECHNICA. By placing an order, the Buyer acknowledges that these Terms override any conflicting conditions mentioned in the Buyer's documents unless otherwise agreed upon in writing by PERITI TECHNICA.
PRICES
All prices are valid for 30 days from the quotation date unless otherwise stated. Prices exclude applicable taxes, transportation, installation, and maintenance, unless specified. Any additional service requested will be charged at standard rates applicable at the time of execution.
TERMS OF PAYMENT
Payments must be made within 30 days from the date of invoice unless otherwise agreed. Milestone-based payments (if applicable) shall follow the agreed schedule.
Note: Delayed payments are subject to an interest charge of 1.5% per month (compounded).
DELIVERY, RISK & TITLE
Delivery timelines are approximate and depend on Buyer's timely information and approvals. Risk transfers to Buyer once goods are dispatched from the Seller's facility. Title of ownership passes only after full payment is received.
Important: In case of delays caused by Buyer, storage or handling charges may apply.
DOCUMENTATION
Standard documentation (manuals, test certificates, drawings) will be provided as per quotation. Additional copies or formats (digital or printed) may incur extra cost.
CONFIDENTIALITY
Both Buyer and Seller agree to maintain confidentiality of any proprietary or technical information shared during the course of business. Confidential data includes design, process, pricing, or project-related materials not publicly available.
INSTALLATION & COMMISSIONING
Unless otherwise agreed, the Buyer is responsible for transportation, site readiness, and installation of Products. PERITI TECHNICA can provide installation, calibration, or commissioning services at additional cost upon request.
FORCE MAJEURE
PERITI TECHNICA shall not be liable for delays or non-performance caused by factors beyond its control — including but not limited to natural disasters, wars, accidents, strikes, or government restrictions. In such events, schedules and costs may be revised mutually.
TERMINATION
Buyer may cancel an order by written notice. All completed work, delivered goods, and reasonable cancellation charges will be invoiced to Buyer. PERITI TECHNICA may suspend or cancel work if payment terms are not honored.
WARRANTY
PERITI TECHNICA warrants that all supplied Products and Services are free from defects in material and workmanship under normal operating conditions.
Warranty Periods:
- Products: 12 months from commissioning or 18 months from dispatch, whichever is earlier
- Third-party products: Manufacturer's standard warranty applies
- Services (installation, programming, calibration): 90 days
PERITI TECHNICA's obligation is limited to repair or replacement of defective parts, subject to proper usage and maintenance.
WARRANTY EXCLUSIONS
Warranty does not apply to:
- Improper installation, misuse, negligence, or unauthorized modifications
- Damage due to incorrect voltage, external short circuits, or accidents
- Natural wear and tear or force majeure events
- Software or firmware issues beyond control of PERITI TECHNICA
Note: All costs of dismantling, reinstallation, freight, or site visit shall be borne by the Buyer unless otherwise agreed.
LIMITATION OF LIABILITY
PERITI TECHNICA's total liability under any claim shall not exceed the contract value of the specific Product or Service involved. The Company shall not be responsible for loss of profits, production delays, or indirect damages.
SOFTWARE LICENSE
Software provided is licensed, not sold. The Buyer is granted a non-transferable, non-exclusive license to use the software with supplied equipment only. Source code, copyrights, or intellectual property rights remain the sole property of PERITI TECHNICA or its licensors.
EXPORT & COMPLIANCE
The Buyer agrees to comply with all Indian and international trade, export, and import regulations. Products shall not be used or resold in violation of export control laws or embargoed regions.
DATA PRIVACY
Any personal, project, or organizational data shared by the Buyer will be used solely for fulfilling the transaction and will not be disclosed to any third party without consent, except as required by law.

GENERAL PROVISIONS
(a) Buyer may not assign any rights without prior written consent of PERITI TECHNICA.
(b) These Terms constitute the complete agreement between both parties.
(c) Any dispute arising shall be subject to exclusive jurisdiction of Kolkata, West Bengal, India.
(d) Any modification or waiver must be in writing and signed by both parties.
(e) If any provision is deemed invalid, the remaining clauses will remain in full effect.
GOVERNING LAW
These Terms and Conditions are governed by the laws of India and interpreted in accordance with the Indian Contract Act, 1872 and other applicable laws.
